Terms of Use
1. Agreement
These Terms of Use (“Terms”) govern your access to and use of the PracticeNest website and service at practicenest.ca (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms form a binding legal agreement between you and PracticeNest. Please read them carefully.
2. Who May Use PracticeNest
- You must be at least 18 years old to create an account.
- By creating an account, you represent that you are the parent or legal guardian of any child whose profile you create.
- The Service is currently available to users in Canada only. Access from other jurisdictions is not supported and may result in account suspension.
- You are responsible for all activity that occurs under your account.
3. Account Registration
- Accounts are created via Google sign-in. You must have a valid Google account.
- By signing in with Google, you authorize PracticeNest to access your Google profile (name, email) and your Google Drive for the purpose of creating practice sheet documents.
- You are responsible for keeping your Google account secure. PracticeNest is not liable for unauthorized access resulting from a compromised Google account.
- You may not create accounts on behalf of others, sell your account, or allow others to use your account.
4. The Service
PracticeNest provides a conversational AI advisor that generates personalized, curriculum-aligned practice sheets for K–8 students in Language Arts and Mathematics, delivered as editable documents. Features available to you depend on your subscription plan as described on our website.
The Service is a supplemental learning tool. It is not a substitute for school instruction, professional tutoring, or individualized education assessments. We do not provide educational assessments, diagnoses, or therapy.
5. Subscription, Billing, and Trials
5.1 Plans and Pricing
PracticeNest offers a free plan and one or more paid subscription plans. Current plan features, limitations, and pricing are described on our website at practicenest.ca/pricing. We reserve the right to change plan features or pricing with reasonable advance notice (see Section 5.5).
5.2 Payment
- Paid subscriptions are billed in advance on a monthly or annual basis, as selected at checkout.
- Payment is processed by our third-party payment processor via credit or debit card.
- PracticeNest never stores your raw card number — all card data is held by our payment processor.
5.3 Free Trial
We may offer a free trial of paid plan features to new users. Trial terms, including duration and any limitations, are displayed at sign-up. If you do not add a payment method before the trial ends, your account reverts to the free plan (your data and profiles are preserved).
5.4 Auto-Renewal
- Your subscription auto-renews at the end of each billing period unless cancelled.
- Annual subscribers receive advance email notice before renewal.
- You may cancel at any time from Account Settings. Cancellation is end-of-period — you retain access until the current billing cycle ends.
5.5 Price Changes
We will provide at least 30 days notice before changing subscription prices. Price changes take effect at the start of your next billing period.
5.6 Refunds
- We generally do not offer prorated refunds for mid-cycle cancellations.
- If you are unsatisfied shortly after your first paid purchase, contact support@practicenest.ca and we will review your request. Refund eligibility and timelines are at our discretion.
- We reserve the right to deny refund requests that appear abusive or in violation of these Terms.
6. Acceptable Use
You agree to use PracticeNest only for its intended purpose (generating practice materials for your child) and in compliance with all applicable laws. You must not:
- Use the Service to generate content for commercial redistribution, tutoring businesses, or schools without our written consent
- Attempt to reverse-engineer, scrape, or copy the AI model, curriculum data, or application code
- Submit inputs designed to produce offensive, harmful, or age-inappropriate content
- Share, sell, or transfer your account to another person
- Use automated scripts or bots to interact with the Service
- Attempt to circumvent subscription limits or access controls
- Upload or transmit malware, viruses, or any malicious code
- Use the Service in any way that could damage, overburden, or impair our infrastructure
Violation of these rules may result in immediate account suspension or termination.
7. Content and Intellectual Property
7.1 PracticeNest IP
All software, design, branding, curriculum alignment logic, and AI systems comprising the Service are owned by PracticeNest or its licensors. Nothing in these Terms grants you a right to our intellectual property beyond the limited license below.
Limited license: We grant you a personal, non-exclusive, non-transferable, revocable license to access and use the Service for your household’s non-commercial educational use, subject to these Terms.
7.2 Generated Sheets
Practice sheets generated through the Service are delivered to you for your personal, household use. You may print, edit, and use sheets for your child’s learning. You may not sell or commercially distribute generated sheets, or use them to train competing AI models.
7.3 Your Inputs
You retain ownership of information you enter (child names, learning notes, interests). By submitting this information, you grant PracticeNest a limited right to use it solely to operate and personalize the Service for you.
8. AI-Generated Content Disclaimer
PracticeNest uses AI to generate practice sheets. While we validate content against Canadian provincial curricula and apply quality guardrails, AI-generated content may contain errors. We do not warrant that any generated sheet is free from factual or curricular inaccuracies, perfectly calibrated to your child’s individual learning level, or a replacement for professional educational assessment. You are encouraged to review sheets before using them with your child. Please report any content quality concerns to support@practicenest.ca.
9. Third-Party Services
The Service integrates with third-party platforms (including Google for sign-in and document creation, and a payment processor for billing). Use of those platforms is governed by their respective terms of service. PracticeNest is not responsible for the practices or content of third-party services.
10. Privacy
Your use of PracticeNest is subject to our Privacy Policy, which is incorporated into these Terms by reference.
11. Service Availability and Modifications
- We target high availability but do not guarantee uninterrupted access.
- We may modify, suspend, or discontinue features with reasonable notice.
- We are not liable for losses arising from service interruptions beyond our control (e.g., third-party infrastructure failures).
12. Termination
By you: You may delete your account at any time from Account Settings. Your personal data is permanently removed within 30 days of deletion (subject to our retention policy for billing records).
By us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent or harmful conduct, or fail to pay subscription fees after the applicable grace period.
Upon termination, your license to use the Service ends. Sections 7, 8, 13, 14, and 15 survive termination.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR CURRICULUM-PERFECT AT ALL TIMES.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW:
- PracticeNest’s total liability to you for any claim arising from your use of the Service is limited to the fees you paid in the 3 months preceding the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or harm arising from reliance on AI-generated content.
- Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.
Some Canadian provinces do not permit the exclusion of certain warranties or limitations of liability. To the extent such exclusions are not permitted under applicable law, they do not apply to you.
15. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
- Any dispute arising from these Terms or the Service will be resolved by the courts of Ontario, and you consent to personal jurisdiction in those courts.
- Before initiating legal proceedings, you agree to contact us at legal@practicenest.ca to seek an informal resolution. We will respond within 15 business days.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email to your registered address and/or a prominent in-app notice at least 14 days before changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you must stop using the Service and may delete your account.
